Utah DAO Act: How the Law Was Made and What It Means for Decentralized Business

The Utah State Legislature has passed the Utah DAO Act, which grants legal recognition and limited liability protections to decentralized autonomous organizations (DAO) in the state. DAOs are not recognized as legal entities by default, and giving them legal status in Utah could help clear up regulatory concerns. The Act allows DAOs to become a legal entity, apply for a tax ID number, open a bank account, own property, deal with non-DAO businesses, run payroll, and exist in the ‘real’ world as opposed to on-chain only. The new law also recognizes the importance of DAO-compliant anonymity and provides certain protections for organizers and operators of DAOs. The Utah DAO Act is expected to have an impact on the tax treatment of DAOs, enabling them to operate legally and avoid accruing massive tax liabilities. Lawmakers and task force members hope that the law can attract DAOs from overseas and make the state more competitive for Web3 development.

Arbitrum Airdrops $120M worth of ARB Tokens to 125 DAOs, Boosting Liquidity for Smaller DeFi Protocols

Arbitrum, a scaling solution for Ethereum, has distributed $120 million worth of ARB tokens to 125 decentralized autonomous organizations (DAOs) within its ecosystem. Around 100 million ARB transfers were reported to eligible protocols by leading Ethereum analytics firms. Of the 125 DAOs, Treasure DAO and GMX received the highest allocated amount of 8 million ARB tokens each, followed by SushiSwap, Balance, Uniswap, Curve, and Dopex, which received between 3 and 5 million ARB tokens. The remaining 118 ecosystem protocols will receive the ARB airdrop in varying amounts. The DAOs have the independence to distribute their share of the ARB airdrop as they see fit, rewarding users retroactively or incentivizing liquidity and usage by rolling out fresh ARB incentives. The goal of the airdrop toward DAO treasuries is the "localization of community governance," allowing the DAOs to choose how to use the ARB tokens to strengthen their projects. Mechanism Capital co-founder Andrew Kang believes that the additional $130 million influx into the Arbitrum ecosystem could help boost liquidity across Arbitrum DeFi projects. The ARB incentives could benefit protocols with smaller market capitalizations the most, according to on-chain data analyst The Data Nerd.

While DAOs have become increasingly popular in recent years as a way to create decentralized and autonomous decision-making processes, de la Rouviere noted that they are not a panacea and may not be appropriate for every use case.

Utah Law Furthers Adoption of On-chain Credentials and DAOs

Utah Governor Spencer Cox has signed two bills into law aimed at supporting the innovation of developing technologies in the state. The first bill, HB 470, requires Utah's Division of Technology Services to launch a pilot program for digitally verifiable credentials on-chain in a bid to prevent the unauthorized alteration of electronic records. The second bill, HB 357, establishes that DAOs that have yet to register as for-profit or non-profit entities shall be treated legally as domestic limited liability companies. The laws follow the Utah legislature's passage of its Decentralized Autonomous Act last month and the establishment of the Blockchain and Digital Innovation Task Force earlier this month.
